By accessing or using Utilioo ("Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

Description of Service

Utilioo is a privacy-first PDF merging service that allows users to combine multiple PDF files into a single document. The Service operates entirely in your web browser using client-side processing.

Key features:

• Client-side PDF processing (files never uploaded to servers)
• Free tier: 10 merges per month, max 20 files per merge, max 2,000 pages
• Pro tier: Unlimited merges, files, and pages ($7/month or $60/year)
• Enterprise tier: Custom solutions with white-label, API access, and SSO

User Accounts

Free Users

No account is required to use the free tier. Usage limits are tracked via browser localStorage.

Pro and Enterprise Users

To access Pro or Enterprise features, you must create an account by providing:

• Valid email address
• Secure password
• Payment information (processed securely via Stripe)

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

Acceptable Use

You may use Utilioo for lawful purposes only. Acceptable uses include:

• Merging your own PDF documents
• Combining PDF files you have permission to modify
• Using the Service for personal, educational, or commercial purposes
• Integrating via API (Enterprise tier only)

Prohibited Uses

You agree NOT to use the Service to:

• Violate any local, state, national, or international law
• Process copyrighted material you don't have rights to
• Merge PDFs containing illegal content (child exploitation, terrorism, etc.)
• Attempt to reverse engineer, decompile, or disassemble the Service
• Circumvent usage limits or access restrictions
• Use automated scripts or bots to abuse the Service
• Resell or redistribute the Service without authorization
• Introduce viruses, malware, or malicious code
• Interfere with or disrupt the Service or servers

Violation of these terms may result in immediate termination of your account and legal action.

Intellectual Property

Our Rights

The Service, including its design, code, features, and content, is owned by Utilioo and protected by copyright, trademark, and other intellectual property laws.

Your Rights

You retain all rights to the PDF files you process through the Service. We do not claim any ownership over your files.

By using the Service, you grant us a limited license to process your files solely for the purpose of providing the Service (note: since processing is client-side, we never actually receive your files).

Payment Terms

Pro Tier

• Monthly: $7 per month, billed monthly
• Annual: $60 per year (save 30%), billed annually
• Payment processed securely via Stripe
• Automatic renewal unless cancelled

Enterprise Tier

Payment Terms

• All fees are in USD
• Fees are non-refundable except as required by law or stated in our refund policy
• We may change prices with 30 days notice
• You are responsible for all applicable taxes

Cancellation & Refunds

Cancellation

You may cancel your Pro subscription at any time:

• No cancellation fees
• Access continues until end of billing period
• No partial refunds for unused time

Refund Policy

7-Day Money-Back Guarantee: If you're not satisfied within the first 7 days, we'll refund your payment 100%, no questions asked.

After 7 days, refunds are issued at our discretion on a case-by-case basis.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of merged PDFs
• Uninterrupted or error-free operation
• Security of the Service (though we implement industry-standard security)

You use the Service at your own risk. Always maintain backups of important files.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTILIOO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes damages for:

• Loss of data or files
• Loss of profits or revenue
• Business interruption
• Loss of goodwill

Our total liability is limited to the amount you paid us in the 12 months before the claim, or $100, whichever is greater.

Changes to Terms

We reserve the right to modify these Terms at any time. When we do:

• We'll update the "Last updated" date at the top
• We'll notify Pro and Enterprise users via email
• Material changes require 30 days notice
• Continued use after changes constitutes acceptance

Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.

Any disputes shall be resolved through:

• Good faith negotiation first
• Binding arbitration if negotiation fails
